Agreement to Terms

By accessing or using 3PL SHIP services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access our Services. These Terms apply to all users of the Services, including customers, merchants, and API integrators.

Services Provided

3PL SHIP provides third-party logistics and fulfillment services, including:

• Warehousing and inventory storage (including temperature-controlled facilities)
• Order receiving, picking, packing, and shipping
• Returns processing and management
• Inventory management and tracking
• Integration with e-commerce platforms
• API access for programmatic fulfillment
• Customer support and account management

Account Registration

Acceptable Use

You agree not to:

• Use the Services for any illegal or unauthorized purpose
• Store prohibited items (weapons, hazardous materials, illegal substances)
• Violate any laws or regulations in your jurisdiction
• Infringe on intellectual property rights of others
• Transmit viruses, malware, or harmful code
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Services
• Use automated systems to access the Services without authorization

Product Requirements

Products stored and fulfilled through our Services must:

• Comply with all applicable laws and regulations (FDA, FTC, etc.)
• Have accurate product descriptions and labeling
• Be properly packaged for storage and shipment
• Not be hazardous, perishable (unless using cold storage), or illegal
• Include all necessary documentation for healthcare products

Fees and Payment

Limitation of Liability

To the maximum extent permitted by law, 3PL SHIP shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Lost profits, revenue, data, or business opportunities
• Damages exceeding the fees paid by you in the 12 months prior to the claim
• Damages resulting from carrier delays, natural disasters, or force majeure events

We maintain insurance coverage for lost or damaged inventory. Claims must be filed within 30 days of occurrence.

Intellectual Property

The Services, platform, and all related content are protected by intellectual property laws. You retain ownership of your product data and information. We retain ownership of our platform, software, and proprietary systems. You grant us a limited license to use your data solely to provide the Services.

Termination

Either party may terminate this agreement with 30 days' written notice. We may suspend or terminate your account immediately if you:

• Violate these Terms
• Fail to pay fees
• Engage in fraudulent activity
• Store prohibited items

Upon termination, you must arrange for retrieval of your inventory within 30 days. Storage fees will continue to accrue during this period.

Dispute Resolution

Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive the right to participate in class action lawsuits. These Terms are governed by the laws of the State of Delaware.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or platform notification. Your continued use of the Services after changes constitutes acceptance of the new Terms.
